These Terms & Conditions ("Terms") govern your pre-application ("Pre-Application") for priority access to the prēcinct Genesis Fund SPC ("Genesis Fund"), operated by prēcinct Ltd ("prēcinct," "we," "us," or "our"), an exempted company incorporated in the Cayman Islands. By submitting a Pre-Application, you ("you" or "Applicant") agree to these Terms. If you do not agree, do not submit.
1. Nature of Pre-Application
The Pre-Application is a non-binding expression of interest for potential eligibility in the Genesis Fund, which offers priority access to bitcoin-collateralized mortgages in select markets (e.g., Lisbon, Cape Town).
Submission does not guarantee approval, funding, membership, or any benefits. It allows us to review your profile and property for preliminary eligibility.
No financial commitment or capital is required from you at this stage. We may contact you for further information.
Final loan applications, if any, require separate agreements, KYC/AML compliance, property checks, and bitcoin collateral review.
The Genesis Fund is capped at €30,000,000 and allocated on a first-approved, first-served basis among eligible applicants.
2. Eligibility and Review
You must be a foreign national (non-resident in the target property's jurisdiction) owning or seeking premium real estate in approved markets.
You confirm understanding of prēcinct's bitcoin mortgage basics: 100% LTV financing, 50% bitcoin collateral requirement, variable interest (interest-only for first 7 years), and 15% performance fee on bitcoin gains (calculated on 220-day moving average at entry/exit).
We reserve the right to reject any Pre-Application at our discretion, without reason.
If approved for priority status, you may activate a mortgage once funding is available, subject to final terms and conditions.
3. Data Collection and Privacy
You will provide accurate information about yourself, your property, and financial profile.
We collect and process your data in accordance with our Privacy Policy (linked on our website). By submitting, you consent to such processing, including for eligibility review, marketing, and compliance.
Data may be shared with affiliates, legal counsel (e.g., Appleby), custodians (e.g., BitGo), and regulators as required.
You have rights under applicable data protection laws (e.g., GDPR if relevant); see Privacy Policy for details.
4. Disclaimers and Risks
This is not an offer to sell securities, financial instruments, or loans. It does not constitute investment, legal, tax, or financial advice. Consult your own advisors.
All terms (e.g., interest rates, fees, benefits) are indicative and subject to change based on capital funding, regulatory clearance, and final agreements. Genesis Member benefits (e.g., 15% reductions on rates/fees, priority access) apply only if a mortgage is concluded within the fund cap and timeframe.
Bitcoin and property markets involve risks, including volatility, loss of value, and regulatory changes. prēcinct makes no warranties on performance or outcomes.
No margin calls, rehypothecation, or liquidations except in default scenarios as described in our product materials.
Access may be restricted in certain jurisdictions; you are responsible for complying with local laws.
5. Intellectual Property
All content, trademarks (e.g., "prēcinct," "Genesis Fund"), designs, and materials on our website or in communications are owned by prēcinct or licensed to us.
You may not copy, reproduce, distribute, or use them without our written consent, except for personal, non-commercial review of your Pre-Application.

6. Limitations of Liability
To the fullest extent permitted by law, prēcinct, its affiliates, directors, and partners disclaim liability for any direct, indirect, incidental, or consequential damages arising from your Pre-Application, including data loss, errors, or reliance on information.
7. Termination and Changes
We may terminate or suspend the Pre-Application process at any time without notice.
These Terms may be updated; continued submission after changes constitutes acceptance. Check our website for the latest version.
8. Governing Law and Dispute Resolution
These Terms are governed by Cayman Islands law, without regard to conflict of laws principles.
Any disputes shall be resolved exclusively in the courts of the Cayman Islands.
If any provision is unenforceable, the remainder remains in effect
